Licenses and transfer issues for HVAC businesses

DoneIssueWhat to know
[ ]State contractor licenseUsually tied to the entity and a qualifying individual. In California a license cannot be transferred to a new entity; a new owner or entity applies for its own license, posts new bonds and shows workers' comp coverage.
[ ]Qualifier / master license holderIf you are the qualifier (RMO/RME, master plumber or electrician), the license qualification leaves when you do. The buyer needs a qualified person in place before closing, or you agree to stay on for a transition.
[ ]EPA Section 608Refrigerant-handling certification belongs to each technician, not the company. The buyer relies on technicians who stay.
[ ]Maintenance agreementsCheck your agreement terms: buyers want memberships that can be assigned and that auto-renew. Non-assignable contracts weaken the recurring-revenue story.

Deal structure notes

Individual buyers usually combine an SBA loan, buyer equity and sometimes a seller note (which, to count toward the SBA equity injection, must sit on full standby). PE platforms pay mostly cash, often with 10-30% rollover equity and sometimes an earn-out.

Timeline

Main Street deals typically take 6-10 months to close after going to market (IBBA Market Pulse Q2 2026); platform add-ons can move faster once an LOI is signed.

Rules vary by state; confirm licensing and transfer requirements with counsel. General information, not legal or tax advice.
