What moves your multiple

  • Recurring revenue (you: -). At 25%+ the calculator moves you up the band; at 50%+ further. Maintenance agreements, contracts and memberships count.
  • Owner dependence (you: -). Under 20 hours a week in the field or chair helps; under 10 helps most. Buyers pay for a business that runs without you.
  • Customer concentration (you: -). Keep any single customer under about 15% of revenue.

Next steps

  1. Recast your earnings line by line with the SDE calculator (tradeexitguide.com/tools/sde-calculator/).
  2. See what you would keep after taxes and fees with the after-tax proceeds calculator (tradeexitguide.com/tools/after-tax-proceeds-calculator/).
  3. Read your trade's valuation page for the sources behind the band and the drivers buyers cite.
  4. If you have an offer, compare it on guaranteed cash, not headline price (tradeexitguide.com/guides/unsolicited-pe-offer/).
  5. Before you sell, get a formal valuation from a credentialed appraiser or an experienced intermediary.

What moves the multiple for a HVAC business

Key metric buyers ask for: Share of revenue from maintenance agreements and number of active members; residential replacement vs new-construction mix; technician count.

Pushes you toward the top of the range

  • A maintenance-agreement base that produces recurring visits and replacement leads
  • Residential service and replacement work rather than new-construction bids
  • Technicians and a service manager who run the day without the owner
  • Branded fleet, call booking and field-service software in place

Pushes you toward the bottom

  • New-construction heavy revenue tied to a few builders
  • The owner is still the lead technician or the only estimator
  • Seasonal cash swings with no maintenance base to smooth them
  • Books that mix personal and business spending

How buyers value a HVAC business

Owner-operated shops sell on a multiple of SDE to individual buyers, many using SBA loans. Once adjusted EBITDA reaches roughly $1M+, PE-backed platforms and strategic buyers start pricing on EBITDA, and maintenance-agreement revenue and technician depth move the multiple most.

Rule of thumb on revenue: 0.4-0.75x revenue on Main Street deals (BizBuySell sold middle half 0.38-0.74x). Use it only as a sanity check; buyers pay for cash flow they can finance.

Worked example: Summit Air Comfort (fictional)

Fictional business for illustration. Revenue $2,400,000, SDE $420,000. 1,100 maintenance members, 80% residential service/replacement, owner works 30 hrs/week in the office.

How to sell a HVAC business

Frequently asked questions

What is an HVAC business worth?

HVAC businesses sold on BizBuySell from 2021-2025 went for a median 2.58x SDE, with the middle half between 1.99x and 3.33x, and about 0.56x revenue. Larger companies bought by PE-backed platforms are priced on EBITDA; Capstone Partners puts the middle-market average at 9.5x for 2024-2026.

Why do maintenance agreements matter so much?

They are recurring revenue that survives an ownership change and feeds replacement sales. Buyers treat a large, active membership base as the main reason to pay the top of the range.

Does my HVAC contractor license transfer?

Usually not. In California, for example, the CSLB says a license is not transferable and a new entity needs its own license. Licenses tied to a qualifying individual mean the buyer needs a qualifier in place before closing.

Is my EPA 608 certification part of the sale?

No. EPA Section 608 certification belongs to the individual technician, not the company, so the buyer relies on the technicians who stay.

Is this an appraisal?

No. It is an educational estimate built from published data. Lenders, courts and the IRS may require a credentialed appraisal; see appraisal vs estimate.
